To incorporate a company in Argentina, the following steps and requirements must be met:
[1] Choose the type of legal entity
In Argentina, you can choose to set up a Sociedad Anónima (SA) or a Sociedad de Responsabilidad Limitada (SRL).
[2] Reserve a corporate name
You will need to reserve a unique company name with the Inspección General de Justicia (IGJ).
[3] Obtain a tax identification number
You will need to obtain a CUIT (Clave Única de Identificación Tributaria) from the Federal Administration of Public Revenue (AFIP).
[4] Draft and sign the company’s bylaws
The company’s bylaws must be signed by all shareholders and must contain specific information such as the company’s purpose, management structure, capital stock, and shareholder rights.
[5] Register the company
You will need to register your company with the IGJ.
[6] Obtain business permits and licenses
Depending on the nature of your business, you may need to obtain additional permits or licenses from local and national authorities.
[7] Open a bank account
You will need to open a local bank account in the company’s name. Thus, you will be able to receive payments and manage expenses.
[8] Hire an accountant
You will need to hire an accountant to manage your company’s taxes and financial reporting requirements.
